Faraday Future signed a non-binding term sheet to transfer its AI robotics business to AIxCrypto Holdings in an all-stock transaction valued at about $200 million, the companies said Monday.
Under the proposed deal, AIxC plans to leave the cryptocurrency business and take on a new name, FF EAI Robotics Ecosystem Inc. Its Nasdaq ticker will change from AIXC to FFR on Sept. 30. Faraday Future is expected to become FFR’s single largest controlling stockholder if the transaction closes.
However, the deal still needs to clear stockholder approvals and other closing conditions, with AIxC cautioning that it “may not be completed.”
AIxC has proposed the deal to be closed at the lower of $2.246 per share or their five-day average closing price before signing, which would give it a fully diluted equity value of about $55 million. The shares Faraday Future receives would be subject to an 18-month lock-up.
"This proposed acquisition represents an important step in AIxC's strategic transformation," AIxC Global CEO Jerry Wang said. "Following completion of the transaction, AIxC will focus on the robotics business and drive the commercialization, scaled deployment and value creation of its Four-Core Full-Stack AI ecosystem, with the goal of creating substantial value for stockholders."
In its estimates, Faraday Future projects the robotics business will generate $7.1 million in 2026 revenue and reach positive operating cash flow by Q3 2028, but AIxC said it has not adopted those figures as guidance.
Faraday Future said separately that it plans to shift its automotive business toward Robotaxi operations and EAI cabin technology. The company intends to connect its vehicles to Robotaxi networks while extending its EAI cabin technology to other intelligent vehicles.
The strategy also includes RoboShare, AIxC’s robot-sharing and rental platform.
